The focus of this study is to find out strategy employed by Vocational High School to build mutual cooperation with industry based on social exchange theory. The writer employs qualitative approach with multi case research design. The writer tried to conduct deep analysis on cases related to cooperation between Vocational High School with industries at three Vocational High Schools in Mojokerto. Data are gathered by interview, observation and document analysis. Then, data are analyzed from single case, then re-analyzed using cross-case to obtain base preposition. The findings show that the three Vocational High Schools: (1) implement different strategies in building cooperation giving mutual benefit for related parties; (2) improve instructional system along with other components to strengthen their bargaining position toward industry; (3) have person in building cooperation. Based on the findings, the following recommendations are given; (1) government should make regulation on the role of related parties in Vocational High School; (2) principal and chairman of relevant foundation should make internal regulation on how to improve quality of Vocational High School in terms of the instructional process in order to keep up with the development and need of industry; (3) government, principals or chairman of foundation should be proactive to build strong cooperation with industry by either using formal or informal approach. © IAEME Publication.
